Throughout this website, the terms “Hanobi,” “Company,” “we,” “us,” and “our” refer to Hanobi Peptides™.

Hanobi provides this website, including all information, tools, and services available from it (collectively, the “Service”), conditioned upon your acceptance of all terms, conditions, policies, and notices stated herein.

By accessing this website, creating an account, or purchasing products from Hanobi, you engage in our Service and agree to be bound by these Terms and Conditions (“Terms” or “Agreement”). If you do not agree, you may not access the website or use any Services.

SECTION 1: ACCEPTANCE OF TERMS AND AGREEMENT FORMATION

1.1 Agreement to Terms. By accessing this website, creating an account, or purchasing any products from Hanobi, you agree to be legally bound by this Agreement, which constitutes a binding contract between you and the Company.

1.2 Rejection of Conflicting Terms. Any terms contained in purchase orders, confirmations, or other documents submitted by Customer that conflict with or add to these Terms are expressly rejected and shall be void. Fulfillment of an order does not constitute acceptance of Customer’s terms.

1.3 Consent Mechanism. By clicking “I Agree,” “Place Order,” or similar checkout confirmations, you acknowledge that you have read, understood, and agree to be bound by all Terms, including the Privacy Policy, Refund Policy, and Shipping Policy.

1.4 Modification of Terms. Hanobi reserves the right to modify these Terms at any time. Continued use of the website or purchase of products constitutes acceptance of the modified Terms. You are responsible for reviewing them periodically.

SECTION 2: RESEARCH USE ONLY DECLARATION

2.1 Exclusive Research Purpose. ALL products sold by Hanobi are intended EXCLUSIVELY for IN-VITRO laboratory research purposes only.

2.2 Prohibited Uses. Products are NOT intended for, and shall not be used as, food, dietary supplements, drugs, medical devices, diagnostics, cosmetics, veterinary products, or for any in vivo human or animal use.

2.3 FDA Disclaimer. Products are research chemicals and are NOT FDA-approved. They are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition.

2.4 Not a Compounding Facility. Hanobi is not a compounding pharmacy or outsourcing facility under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act.

2.5 No Sterilization or Safety Testing. Products have not been sterilized or tested for safety or efficacy in any human or animal application and are provided “as is” for research use only.

SECTION 3: PURCHASER QUALIFICATION AND VERIFICATION

3.1 Age Requirement. Purchasers must be at least twenty-one (21) years of age. Hanobi reserves the right to verify age and cancel orders if verification cannot be completed.

3.2 Qualified Personnel Requirement. Products may only be handled and used by qualified laboratory professionals trained in chemical handling and in-vitro research.

3.3 Institutional Affiliation Warranty. Purchaser represents affiliation with a bona fide research institution or qualification as a credentialed research professional, or otherwise meets qualification criteria acceptable to Hanobi.

3.4 Fraudulent Representation. Misrepresentation of qualifications or intended use constitutes fraud and may result in refusal of service and reporting to authorities.

3.5 Due Diligence Rights. Hanobi reserves the right to verify purchaser qualifications and institutional affiliation.

SECTION 4: CUSTOMER ATTESTATIONS AND ACKNOWLEDGMENTS

4.1 Purchaser Knowledge. Purchaser acknowledges understanding of product composition, hazards, regulatory requirements, and proper laboratory handling procedures.

4.2 Assumption of Risk. Purchaser assumes all risks related to handling, storage, transport, and use of products.

4.3 Independent Determination. Purchaser has independently determined product suitability for intended in-vitro research use.

SECTION 5: PROHIBITED CONDUCT AND NO-GUIDANCE POLICY

5.1 Absolute Prohibitions. Customer shall not use products for human or animal use, resell without authorization, or misrepresent intended use.

5.2 No Guidance Policy. Hanobi does not provide guidance on reconstitution, dosing, administration, or expected outcomes. Any inquiry suggesting non-research use will result in refusal of service.

5.3 Resale Prohibition. Products are not authorized for resale or export without prior written agreement.

SECTION 6: DISCLAIMER OF WARRANTIES

All products and Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

SECTION 7: LIMITATION OF LIABILITY

Hanobi shall not be liable for any indirect, incidental, consequential, or punitive damages. Aggregate liability shall not exceed the purchase price of the affected product.

SECTION 8: INDEMNIFICATION

Purchaser agrees to indemnify and hold harmless Hanobi from all claims arising from misuse of products, breach of these Terms, or violation of law.

SECTION 9: REGULATORY COMPLIANCE AND CUSTOMER RESPONSIBILITIES

Purchaser agrees to comply with all applicable federal, state, and local laws, including FDA, TSCA, DEA, OSHA, EPA, and export control regulations.

SECTION 10: ORDER MANAGEMENT AND RIGHT TO REFUSE SERVICE

All orders are subject to acceptance. Hanobi reserves the right to refuse service, cancel orders, or place customers on a do-not-sell list for compliance reasons.

SECTION 11: PRODUCT SPECIFICATIONS AND CERTIFICATE OF ANALYSIS

Products are manufactured to published specifications. Certificates of Analysis are provided for informational purposes only and do not guarantee suitability for any use.

SECTION 12: SHIPPING, DELIVERY, AND RETURNS

Risk of loss passes upon delivery to carrier. All sales are final except as expressly stated in the Refund Policy.

SECTION 13: PRIVACY AND DATA HANDLING

Personal data collection and processing are governed by the Hanobi Privacy Policy. Regulatory disclosures may be made as required by law.

SECTION 14: GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of California. Exclusive jurisdiction lies in state or federal courts located in Orange County, California. Jury trial is waived.

SECTION 15: MISCELLANEOUS

These Terms constitute the entire agreement between the parties. Severability, force majeure, survival, and non-waiver provisions apply.
